I have lost track as to the last time we met up but I believe it was when I was determining my interest in working with Errata Security with David Maynor and Robert Graham. Thankfully, I ended up not joining their company as a partner. I understand from John Yates, now one of my corporate counselors, that your day to day is with Joulex, however if applicable, I have an interest in speaking to you about End Game Systems/ipTrust confidentially. I unsure as to whether Chris Rouland or DSI have indicated to you the interesting turn of events last year regarding some compromised IP data sources that facilitated our paths to cross. I have been closely following the HBGary situation and the fallout that has occurred and would very much like to discuss a potential opportunity whereby there could be a beneficial outcome for all involved. I look forward to your conversation and thank you in advance for your time. - -- All the best, Karim Hijazi CEO | President Unveillance O. (800) 540-8478 M. I have gone over your proposal below and have a couple of questions: If I am reading this correctly, your investment of $50,000 would entitle you to 2.5% of Unveillance today. An additional 2.5% would be provided to you based on your service effort for Unveillance. That service effort would include: - Driving a fully fledged investment strategy with the goal of a funding event. - Driving the federal initiative within Unveillance (Prime). I don't have any issues with the structure you have proposed, however I believe I will need more than $50,000 to drive a substantial effort with the data production which includes the sinkhole development, setup, configuration (Thompson) as well as the malware analysis system development (Royal). I also need some capital for the firm to bridge until I get some cash flow from Accenture and possibly MGM. How does this sound: You invest $100,000 for 5% of Unveillance (as per your above formula) and you have an additional 2.5% of the company vest upon a funding event which will be the result of our collective efforts cumulatively providing you a 7.5% of Unveillance. Should a funding event not happen, you would still retain your 5% of Unveillance (Prime) and you can proceed with the development of Unveillance "Federal" along similar lines to what we originally discussed. Some variables: The Funding Event - We would probably need to define and agree as to what that means. I think at this point, with a full intention to implement a data creation component to the company, we need to raise nothing less than a super-angel seed round of $2M or perhaps just go straight for a VC round if we can't build a sales model that can sustains us on the seed round in the short term. Company Structure - Unveillance is presently a Delaware single member LLC. I would like you thoughts on redevelopment of the firm to accommodate more than one owner as well as the location of it's incorporation. Much more to discuss, but I hope this is a basis for us to make a decision. Thanks Jim, Karim On 2/22/2011 7:33 PM, James Hunt wrote: > Karim, > > I'm stealing cycles from my class.
