I ask because if I should stop expending energy in the direction of other investors here in Atlanta and California, I will do so right away. I think your group would be a great fit for Unveillance. Candidly, the other investors have not bedazzled me, but their money is still green. The issue is that I would want to wrap up the funding very quickly. I have the other investors here pretty far along (about a week or so away from a check) and the California group teed up too so it is critical that I get a firm commitment. Let me know what you mean by fail safes and what the dd would entail. I submitted your web form a while back and you have quite a bit of other info and docs from me over that last few months. I would hope that would be sufficient to feel comfortable. I would want to execute fast, put a halt to the talks here and come to finalize things with you in DC. I still think this is best handled via a convertible note in that valuation is still murky at best as far as I am concerned. I don't think it is fair to say we are a $25M pre-money firm but considering the traction and quickly closing pipeline, I can safely say we are not a $5M pre-money firm. I hope you agree. I will say that the other investment groups have expressed reservations about "any" kind of exclusive arrangements for obvious reasons. They want a wide open market for Unveillance and don't want to feel there are any restraints from day one. I can understand their concerns but I still feel that MITA is an excellent partner for the federal market. One of my motivations here is that if your group is the sole investment partner for this round, we will be a single firm and those issues cease to exist. The above issue is very intertwined with how we contend with Farrell as well. I don't think either of us want to miss key opportunities purely because we were bogged down in the minutia of structure. I think the best possible solution is being one firm and attacking the market on all fronts. Let's discuss this asap and come to a conclusion. Thanks Jim, Karim On 2/2/2011 11:44 PM, James Hunt wrote: > Karim, >=20 > I believe with the right fail safes in place, our group will be intereste= d in investing.
