John,

Karim and = I are here him my office working our way forward with Unveillance = Federal.

=

We have = agreed that we will move ahead under the present LOI we have for my = development of a separate company to build the federal Unveillance = company if, after the first week in February, there are still lose ends = with Karim and his various partnering and employment relationships that = need further clarification.  If that=92s the case, then the LOI = will provide for a vehicle to fold Unveillance Federal back into = Unveillance should that be warranted for a purchaser or other investment = in the parent.

If we can get = appropriate lose ends tied up, I have committed to bring Unveillance to = a very strong angel group here in town and put the best foot forward to = raise Karim a seven figure investment.  That would be my preferred = approach and I think Karim=92s.  But these are smart investors and = they will and all of the expect solification of the company in = place.

Either way, I want to = move forward with a federal offering for the product.  If the = Unveillance package doesn=92t raise funding to bring the two groups = together, then I want to move forward quickly to establish the service = offering in federal.  I realize that some of the value is = perishable so don=92t want to let much grass grow.

I think that a = relationship with you in the federal piece is a real advantage and would = like to talk about how we best mobilize realizing that at this point we = don=92t have the wherewithal to provide much if any base = salary.

So probably the best = thing to do would be to sit down and discuss your perspective on what = the relationship might look like.
