John,

You beat me to the punch with a great first of the year email.  I am
actually still in Mexico with family on a slightly extended holiday.
Can't say it hasn't been refreshing but I am anxious to get started on
this year and make some big moves.  I have some very solid ideas on
how to move forward, all of which include you.  Yes, the conversation
between Jerry (Unveillance CTO) and John Williams went very well.  We
need to customize a few things with our API to make it all seamless
but I don't think that will take too much effort or time.  The
combined solution is truly compelling.

I want to get you a tentative contract immediately (I plan to have a
draft to you by end of business tomorrow).  Take a look - make changes
- - suggest ideas.

As mentioned during my frantic airport call, I can't offer much for a
salaried, benefit laced contract, but I can work with you on a very
interesting profit sharing plan that I hope will meet your expectations.

My mobile works well here so please do call when you have a moment.  I
will also outline some of my thoughts by email as to keep the dialogue
moving.

Hope your New Years was great and let's make this year memorable.

Thanks,

Karim

Hi John,

Happy New Year to you too.

I agree.

Jerry had and excellent report back to me about Cauldron but in
typical CTO fashion, didn't want to over commit.  I will be back in
the US shortly and push the ambition levels higher.  Our API is in
progress as we speak.

I agree on the reciprocal margins.  In that we have a somewhat more
complex pricing format, I would like to build out a matrix of how we
would develop our commission structure back to you.  It needs to be a
bit more interesting than what I have in place for simple resellers.
Retail for us can be as low as $15K all the way to 300K and beyond -
all contingent on public IP space footprint.

Clarification - I am reading you right when I see that the whole
Cauldron Suite (the 4 tools) are a total of $18K retail.  Correct?

I will get you a pricing/commission proposal in the next working day
for your perusal.

I am also going to engage John Farrell as a hired gun as well so we
will have a great advocate for our collective solution.

In short:

Let me get technical sorted and moving on integration asap.
You and I can sort out commission/pricing in literally a few days.

Speak with you soon my friend.

KH
