I am copying Patrick Callahan, the Chief Legal Officer of the newly formed Unveillance, Inc. so that any conclusions can be efficiently memorialized and executed. A quick update on Unveillance - We have finally received confirmation that Osinsa, Inc. has been officially dissolved and the liabilities associated have been marginalized. The portal software has been completely redeveloped as you have seen over the past few months further protecting our interests. As a further measure to protect the intellectual property, our plans are as follows for the structure of the Unveillance group of companies: Three entities will be formed - Unveillance Holdings, Inc. (Intellectual Property Holdings), Unveillance, Inc. (Sales & Marketing) and Unveillance Development, Inc. (R&D) Unveillance, LLC will be leveraged until completely fresh IP (big data back-end and framework front-end) is created and then will be jettisoned or left to die on the vine. All sales, including Accenture will be facilitated through Unveillance, Inc. Each of these organizations will harbor a specific core competency. I will refer to this further in the email. I understand that Defintel has hit trying times which has led to some potentially dramatic measures of which could affect it's solvency and partner relationships. I understand there is a potential that there will be a split of the organization where the data/intel/research component (Davis) may separate away (or be sold) from the Defintel (Murphy, Davis) today. There are a couple of suitors, one of which is End Game Systems which would pose a direct threat to our ongoing business. In light of their recent funding, I have no doubt their cash offer may be enticing. I would like to propose a counter-proposal along with some sound reasoning for holding off from a deal with End Game Systems. - While EGS has been busy creating press releases about raising capital, we have been in the closing stages with a number or organizations with a formidable price point as you have seen. We are ahead technically (for now) and by all means on a business front. - We have intelligence that EGS has facilitated their capital raise by claiming to be the only team capable of what we are collectively achieving. A finalized agreement between our firms as outlined below will cause a phenomenally unprecedented ripple in the industry and a safe assumption that we will reap the rewards of such a impacting press release. - Following an acquisition of the data portion of Defintel (Davis/Ginley), I can't see how EGS will live up to their agreement to provide the remaining Defintel (Keith Murphy) data for the Nemesis/DefNS products. It is a gamble at best which could result in the complete demise of Defintel (Keith Murphy). - EGS is now a VC run organization and will demand certain protocol that may very well conflict with the current creative culture that we all appreciate and need to maintain the quality of product presently being created. - There is a potential for relocation and re-shifting of resources which would require Davis to move back to Atlanta maybe not initially but certainly eventually (remember - VC). Our proposal - - We would like to offer a substantial equity position for Davis in the holdings company as well as the CEO role for the Unveillance Development, Inc. (sinkhole & data creation) We would like to offer Ginley the role of CTO in the same organization. Both roles will come with a salary and bonus structure. Other staff to be discussed. - There would be no relocation or uprooting necessary to carry on business activities. Comfort is king. - We would like to provide a perpetual license of data back to Defintel (Keith Murphy). - We would like to develop a reciprocal revenue sharing agreement between Unveillance, Inc. and Defintel (Keith Murphy). - Unveillance, Inc. will utilize it's channel and inside sales capabilities for the promotion of the Nemesis/DefNS products in the US and other territories. - Upon an agreement, we can facilitate funds immediately. The Benefits - Under a sophisticated corporate structure, we spread the risk asscociated with various development activities and maximize the inherent value of each organization. We would like to formalize the agreements between the R&D shop and the core DNS providers and registrars securing the ongoing enhancements of the data. We ride the tidal wave of interest generated by the EGS press release which has validated the industry almost overnight from a business perspective. The entities are invest-able, marketable and instantly profitable. In the absolute worst scenario, the structure above demands a much more aggressive price point from EGS as they move from bully to panic mode. We can memorialize a specific financial return to Defintel (Keith Murphy) should this scenario ever come to light. Considering the promises made by EGS to investors - I see this as a serious potential. If for nothing else, see this proposal as a means to gain leverage with EGS. I am sure Patrick may have a good bit to add to this proposal but this is a brief outline of our thoughts. To understand the commissions, there are some important factors to note.  The plan is structured such that if an opportunity closes with an end-user price 50% = of list or greater, the Net Profit is calculated at 20% of the total revenue.  If the opportunity closes with an end-user price less = than 50% of list price but greater than 34% of list price, the Net Profit is = calculated at 10% of the total revenue.  If the deal closes with an end-user = of less than 34% of list price, the Net Profit is calculated on a case-by-case basis.  I expect the majority of deals to close at the greater than = 50% of list price range.  The important thing to note is you will be = compensated 20% of the Net Profit as defined above.
