Up late I see? =20
Give me a call to discuss as soon as you can today. I have other meetings =
at 10, 2:30 and 4:00. Frankly, I'm getting so excited about the possibilit=
ies here that I want to quit my other work and focus full time on this, but=
I have to continue paying the bills.
I'll set up INC this morning. =20
As for the current sale to Accenture, there is an income tax deferral / acc=
ounting reason for running it through LLC which we haven't yet discussed. =
It is only an issue because of the 60 day terms they asked for last Friday.=
At INC, we'll book revenue on an accrual method which means we would have=
to recognize the income this year even though the cash isn't actually paid=
until next year. This means INC pays income tax on the sale when it files=
taxes next March or September. At this point we probably don't want a 40%=
effective corporate tax rate to chop the Accenture fee. =20
At LLC, we'll be on cash basis, which means the Accenture payment in Januar=
y would be 2011 revenue. Not to mention you have all sorts of expenses tie=
d up at LLC (servers, payroll, data feed, etc.) so any income that is booke=
d this year (if Accenture pays early in 2010) would be totally offset leavi=
ng no tax due.
This is another benefit of the multiple entities.
Talk to you soon.

Subject: Defintel, Data, EGS and Unveillance next steps
Gentlemen,
I have spoken to all of you multiple times over the past week or so and=20
wanted to consolidate our collective thoughts, plans and options via an=20
email and perhaps lay the ground work for some conclusions. I am=20
copying Patrick Callahan, the Chief Legal Officer of the newly formed=20
Unveillance, Inc. so that any conclusions can be efficiently=20
memorialized and executed.
A quick update on Unveillance -
We have finally received confirmation that Osinsa, Inc. has been=20
officially dissolved and the liabilities associated have been=20
marginalized. The portal software has been completely redeveloped as=20
you have seen over the past few months further protecting our=20
interests. As a further measure to protect the intellectual property,=20
our plans are as follows for the structure of the Unveillance group of=20
companies:
Three entities will be formed - Unveillance Holdings, Inc. (Intellectual=20
Property Holdings), Unveillance, Inc. (Sales & Marketing) and=20
Unveillance Development, Inc. (R&D)
Unveillance, LLC will be leveraged until completely fresh IP (big data=20
back-end and framework front-end) is created and then will be jettisoned=20
or left to die on the vine. All sales, including Accenture will be=20
facilitated through Unveillance, Inc.
Each of these organizations will harbor a specific core competency. I=20
will refer to this further in the email.
I understand that Defintel has hit trying times which has led to some=20
potentially dramatic measures of which could affect it's solvency and=20
partner relationships. I understand there is a potential that there=20
will be a split of the organization where the data/intel/research=20
component (Davis) may separate away (or be sold) from the Defintel=20
(Murphy, Davis) today. There are a couple of suitors, one of which is=20
End Game Systems which would pose a direct threat to our ongoing=20
business. In light of their recent funding, I have no doubt their cash=20
offer may be enticing.
I would like to propose a counter-proposal along with some sound=20
reasoning for holding off from a deal with End Game Systems.
- While EGS has been busy creating press releases about raising capital,=20
we have been in the closing stages with a number or organizations with a=20
formidable price point as you have seen. We are ahead technically (for=20
now) and by all means on a business front.
- We have intelligence that EGS has facilitated their capital raise by=20
claiming to be the only team capable of what we are collectively=20
achieving. A finalized agreement between our firms as outlined below=20
will cause a phenomenally unprecedented ripple in the industry and a=20
safe assumption that we will reap the rewards of such a impacting press=20
release.
- Following an acquisition of the data portion of Defintel=20
(Davis/Ginley), I can't see how EGS will live up to their agreement to=20
provide the remaining Defintel (Keith Murphy) data for the Nemesis/DefNS=20
products. It is a gamble at best which could result in the complete=20
demise of Defintel (Keith Murphy).
- EGS is now a VC run organization and will demand certain protocol that=20
may very well conflict with the current creative culture that we all=20
appreciate and need to maintain the quality of product presently being=20
created.
- There is a potential for relocation and re-shifting of resources which=20
would require Davis to move back to Atlanta maybe not initially but=20
certainly eventually (remember - VC).
Our proposal -
- We would like to offer a substantial equity position for Davis in the=20
holdings company as well as the CEO role for the Unveillance=20
Development, Inc. (sinkhole & data creation) We would like to offer=20
Ginley the role of CTO in the same organization. Both roles will come=20
with a salary and bonus structure. Other staff to be discussed.
- There would be no relocation or uprooting necessary to carry on=20
business activities. Comfort is king.
- We would like to provide a perpetual license of data back to Defintel=20
(Keith Murphy).
- We would like to develop a reciprocal revenue sharing agreement=20
between Unveillance, Inc. and Defintel (Keith Murphy).
- Unveillance, Inc. will utilize it's channel and inside sales=20
capabilities for the promotion of the Nemesis/DefNS products in the US=20
and other territories.
- Upon an agreement, we can facilitate funds immediately.
The Benefits -
Under a sophisticated corporate structure, we spread the risk=20
asscociated with various development activities and maximize the=20
inherent value of each organization.
We would like to formalize the agreements between the R&D shop and the=20
core DNS providers and registrars securing the ongoing enhancements of=20
the data. We ride the tidal wave of interest generated by the EGS press=20
release which has validated the industry almost overnight from a=20
business perspective. The entities are invest-able, marketable and=20
instantly profitable.
In the absolute worst scenario, the structure above demands a much more=20
aggressive price point from EGS as they move from bully to panic mode. =20
We can memorialize a specific financial return to Defintel (Keith=20
Murphy) should this scenario ever come to light. Considering the=20
promises made by EGS to investors - I see this as a serious potential. =20
If for nothing else, see this proposal as a means to gain leverage with EGS=
.
I am sure Patrick may have a good bit to add to this proposal but this=20
is a brief outline of our thoughts. Let's discuss as soon as possible.
--=20
All the best,
Karim Hijazi

Subject: Defintel, Data, EGS and Unveillance next steps
Content-Type: text/plain; charset=ISO-8859-1; format=flowed
Content-Transfer-Encoding: 7bit
Gentlemen,
I have spoken to all of you multiple times over the past week or so and
wanted to consolidate our collective thoughts, plans and options via an
email and perhaps lay the ground work for some conclusions. I am
copying Patrick Callahan, the Chief Legal Officer of the newly formed
Unveillance, Inc. so that any conclusions can be efficiently
memorialized and executed.
A quick update on Unveillance -
We have finally received confirmation that Osinsa, Inc. has been
officially dissolved and the liabilities associated have been
marginalized. The portal software has been completely redeveloped as
you have seen over the past few months further protecting our
interests. As a further measure to protect the intellectual property,
our plans are as follows for the structure of the Unveillance group of
companies:
Three entities will be formed - Unveillance Holdings, Inc. (Intellectual
Property Holdings), Unveillance, Inc. (Sales & Marketing) and
Unveillance Development, Inc. (R&D)
Unveillance, LLC will be leveraged until completely fresh IP (big data
back-end and framework front-end) is created and then will be jettisoned
or left to die on the vine. All sales, including Accenture will be
facilitated through Unveillance, Inc.
Each of these organizations will harbor a specific core competency. I
will refer to this further in the email.
I understand that Defintel has hit trying times which has led to some
potentially dramatic measures of which could affect it's solvency and
partner relationships. I understand there is a potential that there
will be a split of the organization where the data/intel/research
component (Davis) may separate away (or be sold) from the Defintel
(Murphy, Davis) today. There are a couple of suitors, one of which is
End Game Systems which would pose a direct threat to our ongoing
business. In light of their recent funding, I have no doubt their cash
offer may be enticing.
I would like to propose a counter-proposal along with some sound
reasoning for holding off from a deal with End Game Systems.
- While EGS has been busy creating press releases about raising capital,
we have been in the closing stages with a number or organizations with a
formidable price point as you have seen. We are ahead technically (for
now) and by all means on a business front.
- We have intelligence that EGS has facilitated their capital raise by
claiming to be the only team capable of what we are collectively
achieving. A finalized agreement between our firms as outlined below
will cause a phenomenally unprecedented ripple in the industry and a
safe assumption that we will reap the rewards of such a impacting press
release.
- Following an acquisition of the data portion of Defintel
(Davis/Ginley), I can't see how EGS will live up to their agreement to
provide the remaining Defintel (Keith Murphy) data for the Nemesis/DefNS
products. It is a gamble at best which could result in the complete
demise of Defintel (Keith Murphy).
- EGS is now a VC run organization and will demand certain protocol that
may very well conflict with the current creative culture that we all
appreciate and need to maintain the quality of product presently being
created.
- There is a potential for relocation and re-shifting of resources which
would require Davis to move back to Atlanta maybe not initially but
certainly eventually (remember - VC).
Our proposal -
- We would like to offer a substantial equity position for Davis in the
holdings company as well as the CEO role for the Unveillance
Development, Inc. (sinkhole & data creation) We would like to offer
Ginley the role of CTO in the same organization. Both roles will come
with a salary and bonus structure. Other staff to be discussed.
- There would be no relocation or uprooting necessary to carry on
business activities. Comfort is king.
- We would like to provide a perpetual license of data back to Defintel
(Keith Murphy).
- We would like to develop a reciprocal revenue sharing agreement
between Unveillance, Inc. and Defintel (Keith Murphy).
- Unveillance, Inc. will utilize it's channel and inside sales
capabilities for the promotion of the Nemesis/DefNS products in the US
and other territories.
- Upon an agreement, we can facilitate funds immediately.
The Benefits -
Under a sophisticated corporate structure, we spread the risk
asscociated with various development activities and maximize the
inherent value of each organization.
We would like to formalize the agreements between the R&D shop and the
core DNS providers and registrars securing the ongoing enhancements of
the data. We ride the tidal wave of interest generated by the EGS press
release which has validated the industry almost overnight from a
business perspective. The entities are invest-able, marketable and
instantly profitable.
In the absolute worst scenario, the structure above demands a much more
aggressive price point from EGS as they move from bully to panic mode.
We can memorialize a specific financial return to Defintel (Keith
Murphy) should this scenario ever come to light. Considering the
promises made by EGS to investors - I see this as a serious potential.
If for nothing else, see this proposal as a means to gain leverage with EGS.
I am sure Patrick may have a good bit to add to this proposal but this
is a brief outline of our thoughts. Let's discuss as soon as possible.

All the best,
Karim Hijazi

This is really good stuff. PGP Corp. (now owed by Symantec) has some copyr=

these stats into the website or forthcoming marketing collateral.

States, the average total cost per breach was a staggering $6.75 million, =
with an average cost of $204 per affected record."
Powerful cost metrics to say the least.

Mary,
=20
The content listed below is considered confidential as it includes =
pricing and profit calculations.
=20
Are you selling this over the phone - or do you have plans to go to =
these places? I will definitely need to see your calendar...
=20
It will be a combination of remote demonstration and calls, but it will =
involve in-person meetings and sales cycle advancement for qualified =
opportunities. I will get you access to a calendar, but for now, use my =
outlook calendar that you have access to and I=E2=80=99ll add in =
placeholders for Unveillance related meetings (you=E2=80=99ll see UNV in =
the notes.)=20
=20
Is there a web demo for potential buyers (and me)?
There is a demo, but it=E2=80=99s not on demand. It=E2=80=99s =
scheduled. One of the key aspects of our business it to remain low key. =
We do not want to attract the attention of the criminal elements =
involved in the illicit botnets. =20
Will I be setting appointments for other people as well?
=20
You will be setting appointments for other people, but for now, just =
assume I=E2=80=99ll make the first call prior to any appointment. There =
is limited access to the group calendar for now.=20
=20
Since that is the case, why not concentrate on local companies first? =
Did this list come from a pre-screened list of someone who might have =
the propensity to buy?
We have a potential channel partner focusing on a few local companies. =
The bottom-line is that larger organizations can benefit from the =
solution. The list was pulled from large organizations which makes a =
shorter sales cycle and a larger opportunity. The list was pre-screened =
based on the aforementioned criteria.
Do you know anything about VOIP? How expensive is it? (I can't imagine =
making these calls on my cell...)
=20
I do. You can use Google Voice which is free in the United States from =
your computer. I recommend a decent USB headset though, as calling =
through your speakers and built in microphone can include a lot of =
background noise. There are quite a bit of USB phones that work with =
Google Voice as well. As another option, MagicJack is $19.95 a year and =
includes free domestic calling and works with a traditional telephone. =20
=20
I would be happy to help you setup either option if you=E2=80=99d like. =
Absolutely!!=20
Let me know when. I=E2=80=99m in Alpharetta most of the week.
How long do you think the average sales cycle is?
=20
I=E2=80=99m estimating the sales cycle to be anywhere from 90-180 days.
I will need more documentation as to what gets paid when, will there be =
a pipeline discussion every week at a specific time. what kind of =
reports I will get, etc.
=20
Documentation is on its way. Our attorney is working on the agreement. =
In order to give you some clarity, I=E2=80=99ve attached the price list =
(confidential.) =20
=20
To understand the commissions, there are some important factors to note. =
The plan is structured such that if an opportunity closes with an =
end-user price 50% of list or greater, the Net Profit is calculated at =
20% of the total revenue. If the opportunity closes with an end-user =
price less than 50% of list price but greater than 34% of list price, =
the Net Profit is calculated at 10% of the total revenue. If the deal =
closes with an end-user of less than 34% of list price, the Net Profit =
is calculated on a case-by-case basis. I expect the majority of deals =
to close at the greater than 50% of list price range. The important =
thing to note is you will be compensated 20% of the Net Profit as =
defined above. =20
=20
There are a few billing options for the customer. Prepaid annual, =
quarterly invoicing, and monthly invoicing. You will be paid =
commissions 30 days after the end of the month in which a customer is =
invoiced. For instance, you generate a qualified lead. The deal closes =
May 5th. The monthly billing cycle closes on May 31st. You will =
receive your commission check on June 30th. If the customer prepays for =
12 months, your commission will reflect the 20% of NetProfit for entire =
year. If a customer is invoiced quarterly, you will receive commission =
commiserate with Quarterly Recurring Revenue (QRR.) If a customer =
elects to receive monthly invoicing, you will receive commission =
commiserate with Monthly Recurring Revenue (MRR.) Renewal business is =
calculated at one-half of the net-new opportunity rate.
=20
We will have a weekly pipeline discussion, and you will have access to =
that call to track opportunities. Every lead you generate will be =
assigned to you in our CRM for tracking purposes. Reports will be =
generated twice a month, and you will receive a copy of all the =
opportunities along with their respective stages that are assigned to =
you as the lead originator. =20
=20
=20
I hope this helps to clarify things for you. Please remember that =
I=E2=80=99m always available via phone if you have any additional =
questions. =20
=20
For email purposes, we are setting up your email account as well. =
I=E2=80=99ll forward the login information as soon as it is created.

Mary,
Will I be setting appointments for other people as well?
=20
You will be setting appointments for other people, but for now, just =
assume I=E2=80=99ll make the first call prior to any appointment. There =
is limited access to the group calendar for now.=20
=20
Since that is the case, why not concentrate on local companies first? =
Did this list come from a pre-screened list of someone who might have =
the propensity to buy?
Absolutely!!=20
Please remember that =
I=E2=80=99m always available via phone if you have any additional =
questions. =20
=20
For email purposes, we are setting up your email account as well. =
I=E2=80=99ll forward the login information as soon as it is created.
=20
Please let me know your availability for a demonstration of the solution =
as well. I will send you collateral documents after our demo.
