Haytham,

2. Not sure - if there is more overhead/reporting for a public deal we would probably need to raise a LOT more money. We can use it - the $3mm is the bare min.

3. The justification for a $8.5mm investment for 5% is laid out in the documents I sent. We used half of the average value of the valuation - and are happy to get 3rd party valuations as well.
